IMPORTANT — PLEASE READ CAREFULLY

This Terms of Service and End User License Agreement (“Agreement”) is an electronic record within the meaning of the Information Technology Act, 2000 and the rules thereunder, as applicable. This electronic record is generated by a computer system and does not require any physical or digital signature. By accessing, browsing, registering on, or using the Divyartha platform — whether through the website at www.divyartha.in, any mobile application, or any other medium (collectively, the “Platform”) — you (“User”) unconditionally accept and agree to be bound by this Agreement in its entirety. If you do not agree with any provision of this Agreement, you must immediately discontinue use of the Platform.

1. INTRODUCTION & COMPANY DETAILS

The Platform is owned and operated by Vordyn Technologies Private Limited, a company incorporated under the Companies Act, 2013, having its registered office at C. 13/39.VE-6, FF, Varinder Nagar, Janakpuri B-1, New Delhi, West Delhi – 110058, Delhi, India (hereinafter referred to as “Company,” “We,” “Us,” or “Our”). The Company operates the Divyartha brand and Platform.

This Agreement governs your use of all services, features, content, subscriptions, bookings, spiritual facilitation, digital deliverables, and any other offerings made available through the Platform. Your continued use of the Platform constitutes your unconditional, irrevocable acceptance of this Agreement and all modifications thereto as may be posted from time to time.

2. DEFINITIONS

For the purposes of this Agreement, the following terms shall have the meanings ascribed to them:

  • “Platform” — the Divyartha website, mobile application(s), APIs, and all associated services operated by the Company.
  • “User / You” — any individual who accesses, registers on, or uses the Platform in any capacity.
  • “Services” — all puja bookings, subscription plans, astrology consultations, spiritual guidance, prasad delivery, livestreams, devotional content, digital media, and any other offerings facilitated through the Platform.
  • “Service Provider” — any priest, pandit, astrologer, jyotishi, temple, religious institution, or spiritual practitioner who delivers or performs Services, and who is an independent third party not employed by or affiliated with the Company.
  • “Subscription” — any recurring monthly or periodic plan purchased by a User for ongoing puja or devotional services.
  • “Batch Puja” — a collective devotional ceremony performed simultaneously for multiple subscribing Users, wherein individual sankalp details are consolidated and offered collectively.
  • “Devotional Content” — any video, clip, livestream, recording, photograph, audio, or digital media related to puja rituals, temple ceremonies, or spiritual events distributed through the Platform.
  • “Sankalp Details” — name, gotra, nakshatra, date of birth, family members' names, and other personal details submitted by a User for inclusion in a puja ritual.
  • “Force Majeure Event” — any event beyond the reasonable control of the Company, as described in Clause 12.
  • “Content” — all text, images, photographs, videos, audio, data, information, and other material uploaded, posted, or submitted by Users on the Platform.

3. ELIGIBILITY

The Platform and Services are available exclusively to persons who are competent to contract under the Indian Contract Act, 1872. By using the Platform, you represent and warrant that: (a) you are at least 18 years of age; (b) you are of sound mind and legal capacity to enter into this Agreement; (c) if you are accepting this Agreement on behalf of an organization, you have the authority to bind that organization; (d) your use of the Platform does not violate any applicable law or regulation.

Use of the Platform by minors below the age of 18 is strictly prohibited. The Company assumes no liability for access by minors. If a User becomes aware of unauthorized use by a minor, they must notify the Company immediately. Any subscription purchased on behalf of a minor shall be the sole responsibility of the adult guardian who executed the transaction.

4. USER ACCOUNT & AUTHENTICATION

Access to certain Services requires registration via OTP-based authentication linked to your mobile number or email. By registering, you agree that: (a) all information provided is accurate, current, and complete; (b) you will maintain the security and confidentiality of your account; (c) you are solely responsible for all activities conducted through your account, whether authorized or not.

The Company shall not be liable for any loss, damage, or unauthorized transaction resulting from your failure to secure your account credentials, OTP, or device. You must notify the Company immediately at hello@divyartha.in upon becoming aware of any unauthorized access. The Company reserves the right to suspend or terminate any account at its sole and absolute discretion, at any time and without prior notice.

5. USER OBLIGATIONS & PROHIBITED CONDUCT

You agree that you shall not, directly or indirectly:

  • Use the Platform for any unlawful, fraudulent, or unauthorized purpose;
  • Upload, transmit, or distribute any content that is defamatory, obscene, abusive, religiously offensive, or violates any third-party rights;
  • Impersonate any individual, entity, priest, astrologer, or representative of the Company;
  • Attempt to gain unauthorized access to the Platform, its servers, databases, or associated systems;
  • Use automated scripts, bots, scrapers, or any tool to extract data from the Platform;
  • Reverse-engineer, decompile, or disassemble any software component of the Platform;
  • Engage in any conduct that harasses, intimidates, threatens, or abuses other users, Service Providers, or Company employees;
  • Submit false, misleading, or fabricated sankalp details, names, or gotras;
  • Misuse the Platform's review or testimonial system to post false or malicious feedback;
  • Attempt to circumvent the Platform's payment systems or obtain Services without proper payment.

The Company reserves the right to remove any Content and suspend or permanently terminate any User's account without notice or refund for violation of the above, at its sole discretion.

6. PLATFORM ROLE — TECHNOLOGY INTERMEDIARY DISCLAIMER

CRITICAL DISCLAIMER — READ CAREFULLY

THE COMPANY IS SOLELY AND EXCLUSIVELY A TECHNOLOGY PLATFORM AND MARKETPLACE INTERMEDIARY. It provides technology infrastructure to connect Users with independent Service Providers (priests, pandits, temples, astrologers, and related practitioners). The Company does not itself perform any puja, ritual, ceremony, or spiritual service. The Company does not employ, supervise, control, or endorse any Service Provider.

All pujas, rituals, ceremonies, astrology consultations, and spiritual guidance are performed exclusively by independent third-party Service Providers. The Company makes no representation, warranty, or guarantee regarding the qualifications, authenticity, competence, conduct, experience, or religious authority of any Service Provider.

The Company expressly disclaims any liability for: the quality, accuracy, completeness, authenticity, or religious efficacy of any ritual or ceremony performed; the conduct, statements, or omissions of any Service Provider; any spiritual, religious, emotional, psychological, financial, or physical outcome, effect, or consequence — positive or negative — arising from use of the Platform.

Religion, devotion, and spiritual practice are inherently personal matters of individual faith. The Company makes no promise, representation, or guarantee of any spiritual result, divine intervention, blessing, protection, or outcome. Users acknowledge that the Platform facilitates access to devotional services and that all expectations of spiritual outcomes are solely the User's own faith-based beliefs and are not induced by any representation of the Company.

7. PUJA & DEVOTIONAL SERVICES — SPECIFIC TERMS

7.1 Collective / Batch Puja Operations

USERS EXPRESSLY ACKNOWLEDGE AND IRREVOCABLY ACCEPT that the puja services offered through the Platform are collective, standardized, and non-exclusive in nature. Multiple Users are grouped into common puja batches and slots. Sankalp details (names, gotra, nakshatra, family members) of multiple Users may be collectively compiled and offered to Service Providers for operational efficiency. Puja rituals, chants, prayers, and ceremonies may be performed simultaneously for multiple subscribers within the same batch session.

Users waive any and all claims relating to exclusivity, uniqueness, personalization, or individualized execution of rituals unless a specific “private/exclusive puja” tier is explicitly stated and confirmed in writing by the Company at the time of booking.

7.2 Subscription-Based Recurring Puja Services

The Platform operates on a subscription model whereby Users authorize recurring monthly or periodic debits for ongoing puja services. By subscribing, Users authorize the Company and/or its payment partners to automatically debit the subscription amount from the User's registered payment instrument (UPI AutoPay, eMandate, credit/debit card, wallet, net banking, or any other recurring payment method) on the applicable billing date.

Users are solely responsible for ensuring sufficient funds in their payment instrument on the billing date. Failed auto-debit transactions may result in suspension or cancellation of the subscription at the Company's sole discretion. The Company may retry failed payments up to three (3) times without additional notice to the User.

Subscription fees, applicable taxes (including GST), platform convenience charges, temple facilitation charges, and delivery charges are subject to revision at the Company's sole discretion from time to time. Where required by applicable law, the Company shall provide reasonable notice of material price changes. Users are responsible for cancelling their subscription before the applicable renewal date to avoid being charged for the next billing cycle.

7.3 Devotional Content & Video Delivery

As part of subscription Services, Users may receive devotional content including short-form videos, edited clips, compiled footage, livestream recordings, temple visuals, or representative ceremonial footage (“Devotional Content”). Users expressly acknowledge and consent to the following:

  • Devotional Content may be symbolic, representative, templated, pre-recorded, partially recorded, edited, compiled, or generated from broader batch ceremonies;
  • Due to operational, religious, technical, or temple-imposed restrictions, content may not contain individualized rituals or visible recitation of the individual User's name;
  • Similar or identical video footage may be distributed to multiple Users who are part of the same batch puja or devotional event;
  • Delivery of Devotional Content is on a best-efforts basis only and is not guaranteed;
  • The Platform does not guarantee uninterrupted livestream quality, audio clarity, or recording completeness;
  • The Company shall not be liable for any dissatisfaction arising from the standardized, collective, or non-exclusive nature of Devotional Content.

7.4 Prasad Delivery

Where a subscription or puja package includes prasad delivery, the following terms apply: delivery timelines are estimates only and are not guaranteed; actual appearance, packaging, quantity, and composition of prasad may vary from images displayed on the Platform; delays or non-delivery caused by temples, religious restrictions, third-party logistics providers, weather, festivals, strikes, or Force Majeure Events shall not create any refund obligation or liability for the Company; non-delivery caused by incorrect addresses provided by the User, unavailability of the recipient, or courier limitations shall not entitle the User to any refund or replacement.

7.5 Livestream Puja, Temple Bookings & Festival Events

Livestream pujas, temple bookings, and festival events are subject to temple schedules, religious calendars, priest availability, and local conditions, all of which are beyond the Company's control. The Company does not guarantee the availability of any specific temple, priest, time slot, or ritual format. Schedules may change, sessions may be rescheduled, and specific rituals may be modified at the Service Provider's discretion without prior notice to the User.

7.6 Donations & Dakshina

Any amount contributed as donation or dakshina through the Platform is voluntarily offered by the User. The Company facilitates the collection and disbursement of such amounts to the relevant temple or Service Provider on a best-efforts basis. The Company does not guarantee that donated amounts will be used for any specific religious purpose and makes no representations regarding tax deductibility of donations unless specifically stated.

8. ASTROLOGY & SPIRITUAL GUIDANCE — DISCLAIMER

ALL ASTROLOGY READINGS, KUNDALI ANALYSIS, JYOTISH CONSULTATIONS, VASTU ADVICE, SPIRITUAL GUIDANCE, AND SIMILAR SERVICES PROVIDED THROUGH THE PLATFORM ARE STRICTLY FOR ENTERTAINMENT, CULTURAL, AND PERSONAL SPIRITUAL PURPOSES ONLY.

Such services do NOT constitute, and must NOT be treated as: (a) medical advice, diagnosis, or treatment; (b) psychological or psychiatric counselling; (c) financial, investment, or legal advice; (d) a substitute for consultation with qualified medical, mental health, financial, or legal professionals. The Company strongly advises Users to seek independent professional advice for matters concerning their physical health, mental health, financial decisions, or legal matters.

Users acknowledge that astrology, jyotish, and spiritual guidance are belief-based practices and that outcomes, predictions, and remedies suggested by Service Providers are not scientifically verifiable. Users proceed at their own risk. The Company shall bear absolutely no liability for any decision made by a User in reliance on any spiritual guidance, astrological prediction, remedy, or remedial measure suggested through the Platform.

9. MENTAL HEALTH, EMOTIONAL WELLBEING & CRISIS DISCLAIMER

The Platform does not provide mental health services, psychological support, crisis intervention, or suicide prevention services. If you are experiencing thoughts of self-harm, suicide, or are in emotional distress, please immediately contact iCall (9152987821) or Vandrevala Foundation (1860-2662-345), or visit your nearest emergency medical facility.

The Company expressly disclaims any and all liability for emotional distress, psychological harm, depression, anxiety, grief, suicidal ideation, or any adverse mental health outcome arising from or allegedly connected to: (a) use of the Platform or its Services; (b) reliance on spiritual guidance, astrological predictions, or remedies obtained through the Platform; (c) unmet expectations regarding spiritual outcomes; (d) any communication by a Service Provider. Users acknowledge that spiritual services are a supplement to — not a replacement for — qualified professional mental health care.

10. PAYMENT TERMS

All Services on the Platform are prepaid. Payments are processed through third-party payment gateways including but not limited to Razorpay, PayU, or other RBI-approved payment aggregators (“Payment Gateway”). The Company does not store full card details on its servers.

By initiating a payment, you authorize the Company and/or its Payment Gateway partners to process the applicable amount from your designated payment instrument. For subscription plans, you authorize recurring automatic debits as described in Clause 7.2. The Company shall not be liable for any failed, delayed, duplicate, or erroneous transactions caused by: (a) Payment Gateway errors or downtime; (b) bank/network errors; (c) incorrect payment details provided by the User; (d) insufficient balance; (e) any event beyond the Company's control.

Pricing displayed on the Platform is inclusive of applicable GST unless stated otherwise. Any additional taxes, levies, or surcharges imposed by government authorities shall be borne by the User. International transactions may attract additional charges by the User's bank.

Amounts paid to the Platform do not constitute a deposit and do not earn interest. The Company reserves the right to modify pricing, introduce new charges, or withdraw any offer at any time at its sole discretion. Continued use of the Platform after a price change constitutes acceptance of the revised pricing.

11. REFUND & CANCELLATION POLICY

ALL SALES ARE FINAL. REFUNDS ARE NOT GUARANTEED AND ARE ISSUED SOLELY AT THE COMPANY'S ABSOLUTE AND SOLE DISCRETION.

11.1 One-Time Puja Bookings

Cancellation requests submitted more than 48 hours prior to the scheduled puja date may be eligible for a partial account credit toward future bookings (not cash refund), at the Company's sole discretion, after deducting applicable processing fees, temple facilitation charges, and administrative costs. No cancellations or refunds will be entertained within 48 hours of the scheduled puja. Once a puja has been performed — in whole or in part — no refund will be issued under any circumstances.

11.2 Subscription Plans

Subscription fees once charged are non-refundable. No pro-rata refunds will be issued for partially used billing cycles. Users may cancel their subscription to prevent future billing, but no refund will be provided for any period already paid. The Company does not guarantee any minimum period of Service and may suspend or modify subscription offerings at any time.

11.3 Platform-Initiated Cancellations

In the event the Company or a Service Provider is unable to fulfill a booked puja due to reasons including but not limited to Force Majeure Events, temple closure, priest unavailability, or operational constraints, the Company may, at its sole discretion, either: (a) reschedule the puja to an alternative date; (b) issue an account credit equivalent to the booking amount toward a future booking; or (c) issue a partial refund after deducting applicable charges. The Company's liability in such cases shall in no event exceed the amount paid by the User for that specific booking.

11.4 No Refunds for Dissatisfaction

No refund shall be issued on grounds of dissatisfaction with spiritual outcomes, perceived efficacy of rituals, quality of Devotional Content, non-individualized video footage, absence of personalized name recitation, or any subjective evaluation of the Services. Users acknowledge that spiritual outcomes are matters of personal faith and cannot form the basis of any refund claim.

12. FORCE MAJEURE

The Company shall not be liable for any delay, disruption, cancellation, non-performance, or modification of Services caused by a Force Majeure Event, which includes, without limitation: acts of God; natural disasters (earthquakes, floods, cyclones, fires); pandemics, epidemics, or public health emergencies; wars, riots, civil disturbances, terrorist attacks, or communal tensions; government orders, regulations, lockdowns, curfews, or notifications; religious restrictions imposed by temples or competent religious authorities; festival-related closures or overcrowding at temples; VIP/VVIP visits or security arrangements; power outages; internet or telecommunications network failures or disruptions; cyber-attacks; strikes, lockouts, or industrial actions; priest or pandit unavailability due to illness, personal emergency, or religious observance; and any other event beyond the Company's reasonable control.

In the event of a Force Majeure Event, the Company shall endeavour to notify affected Users on a best-efforts basis and may, at its sole discretion, reschedule, substitute, or credit the User's account. No refund obligation arises solely from a Force Majeure Event.

13. RECORDING, CONTENT CAPTURE & USAGE CONSENT

By using the Platform's livestream, puja session, or consultation features, Users expressly consent to the recording, capture, storage, and use of session footage, audio, images, and associated data by the Company for the following purposes: service delivery and fulfillment; quality assurance, audit, and compliance; training and improvement of Services; promotional and marketing purposes (in anonymized or aggregated form unless separate written consent is obtained); legal and regulatory compliance; and archival purposes.

Users are strictly prohibited from recording, capturing, or distributing any livestream session, consultation, or Service Provider's content without prior written consent from the Company and the relevant Service Provider. Violation of this clause may result in immediate account termination and legal action.

14. PRIVACY & PERSONAL DATA

By using the Platform, you consent to the collection, storage, processing, and use of your personal data as set out in the Company's Privacy Policy, which is incorporated herein by reference. Data collected includes but is not limited to: name, mobile number, email address, date of birth, gotra, nakshatra, birth details (time/place), family members' names, photographs, religious preferences, puja history, payment data, device data, IP address, location data, and any other information voluntarily provided.

Sankalp details submitted by Users — including names, gotras, and family information — will be shared with the relevant Service Provider (priest, temple) for the purpose of ritual performance. Users expressly consent to such sharing. The Company may retain User data for such periods as required by law or as necessary for the provision of Services.

15. USER GENERATED CONTENT

By submitting any Content on the Platform (including reviews, testimonials, comments, photographs, or devotional experiences), you grant the Company a perpetual, irrevocable, worldwide, royalty-free, non-exclusive license to use, reproduce, modify, adapt, publish, translate, distribute, display, and incorporate such Content in any medium or format for any purpose, including marketing and promotional purposes, without any compensation to you. You represent that you own or have the necessary rights to submit such Content.

The Company reserves the right to remove, edit, or reject any Content at its sole discretion without notice. The Company does not endorse any User Content and is not responsible for its accuracy.

16. INTELLECTUAL PROPERTY

All content, design, code, trademarks, logos, service marks, and intellectual property on the Platform are owned by or licensed to the Company. Nothing in this Agreement grants Users any right, title, or interest in the Company's intellectual property. Users may not reproduce, copy, distribute, modify, publish, or create derivative works from any Platform content without prior written consent from the Company. Unauthorized use of the Company's intellectual property may constitute an infringement and will be prosecuted to the fullest extent of applicable law.

17. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, GOODWILL, DATA, BUSINESS OPPORTUNITY, OR SPIRITUAL BENEFIT, ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE PLATFORM OR SERVICES, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE.

The Company's total aggregate liability for any claim arising from this Agreement or the use of the Platform shall not, under any circumstances, exceed the total amount paid by the User to the Company in the three (3) calendar months immediately preceding the event giving rise to the claim.

The Company expressly disclaims all liability for: (a) the actions, omissions, conduct, or statements of Service Providers; (b) spiritual, religious, devotional, emotional, psychological, or physical outcomes of any puja, ritual, or consultation; (c) technical failures, data loss, or service interruptions; (d) loss or theft of prasad or physical deliverables after dispatch; (e) dissatisfaction with the collective/batch nature of Services or Devotional Content.

18. INDEMNITY

You agree to indemnify, defend, and hold harmless the Company, its directors, officers, employees, agents, successors, and assigns from and against any and all claims, liabilities, losses, damages, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Platform or Services; (b) your breach of this Agreement; (c) your violation of any applicable law or third-party right; (d) any Content submitted by you; (e) any dispute between you and any Service Provider; (f) any misrepresentation made by you. This indemnity shall survive termination of this Agreement.

19. TERMINATION & SUSPENSION

The Company reserves the right to suspend, restrict, or permanently terminate any User's account, access, or subscription at any time, for any reason or no reason, at its sole and absolute discretion, with or without prior notice, with or without refund. Grounds for termination include but are not limited to: breach of this Agreement; fraudulent or abusive conduct; chargebacks or payment disputes initiated without valid basis; misuse of the Platform; or legal or regulatory requirements.

Upon termination, all rights granted to you under this Agreement immediately cease. The Company shall have no obligation to retain or provide access to any User data, Devotional Content, or account history following termination, except as required by law. All outstanding amounts owed by you to the Company shall become immediately due and payable.

21. PHYSICAL DELIVERY DISCLAIMER

Where the Platform facilitates delivery of prasad, puja materials, idols, malas, or other physical items, the following terms apply: delivery timelines are estimates only; the Company is not liable for delays, losses, damages, or non-deliveries caused by courier partners, postal services, customs clearance, festivals, weather, strikes, or other events beyond the Company's control; the appearance, packaging, weight, and quantity of delivered items may vary from Platform representations; items once dispatched cannot be recalled; once delivered, returns will not be accepted except in cases of manifest manufacturing defect, subject to the Company's sole discretion.

22. GOVERNING LAW & DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any dispute, controversy, or claim arising out of or relating to this Agreement or the breach, termination, or validity thereof shall be first attempted to be resolved through good-faith negotiation. If unresolved within thirty (30) days, the dispute shall be referred to binding arbitration conducted by a sole arbitrator appointed by the Company in accordance with the Arbitration and Conciliation Act, 1996, as amended. The seat and venue of arbitration shall be New Delhi. The language of proceedings shall be English.

Subject to the above arbitration clause, the courts of New Delhi shall have exclusive jurisdiction over all matters arising from this Agreement. Users waive any objection to such jurisdiction and agree not to initiate proceedings in any other forum. Class action or consolidated proceedings are expressly prohibited.

23. GRIEVANCE OFFICER

In accordance with the Information Technology Act, 2000 and the Consumer Protection (E-Commerce) Rules, 2020, the Company has designated a Grievance Officer to address User complaints:

24. GENERAL DISCLAIMERS & ACKNOWLEDGEMENTS

THE PLATFORM AND ALL SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, UNINTERRUPTED SERVICE, OR ERROR-FREE OPERATION.

By using the Platform, you irrevocably acknowledge and agree that: (a) you subscribe to and use the Platform voluntarily and at your own risk; (b) spiritual and devotional outcomes are matters of personal faith and not within the Company's control or guarantee; (c) the collective, batch-based nature of puja Services has been clearly communicated and you have consented to it; (d) you have read, understood, and accept this Agreement in its entirety; (e) you are not relying on any oral or written representation outside this Agreement.

This Agreement constitutes the entire agreement between you and the Company with respect to the Platform. If any provision of this Agreement is found invalid or unenforceable, the remaining provisions shall continue in full force and effect. The Company's failure to enforce any right or provision shall not constitute a waiver of such right. Headings are for convenience only and shall not affect interpretation.

The Company reserves the right to amend this Agreement at any time by posting the revised version on the Platform. Continued use of the Platform after any such amendment constitutes your acceptance of the revised Agreement.
